Bylaws
-
Since the initial meeting on May 25th, 1950, where 60 members of the Lake Orion Chamber of Commerce met at the Methodist Church to elect its first Board of Directors, the Chamber has worked diligently on creating a robust business-friendly environment in which businesses can thrive and prosper. The Articles of Incorporation were officially executed several weeks later on June 19th, 1950.
In January 1996 the Chamber adopted Bylaws to act as the governing decision-making document that outlines the organization's structure, rules, and operations.
The Bylaws have been amended 6 times, including amendments approved by the Board of Directors on October 30, 2025.
The newly amended Bylaws define the chamber's objectives, structure and governance, outline member rights and responsibilities, election processes, board duties, ensure legal compliance, and voting procedures to ensure consistent and transparent governance.
The Bylaws consist of eleven (11) Articles and numerous Sections that include purpose and objectives, membership, meetings of members, Board of Directors, Officers, Committees and Divisions, Finances, Dissolution, Parliamentary Authority, Indemnification, and Amendments.
